Privacy Terms Shipping & Returns

These Terms of Use and Sale (“Terms”) form a legally binding agreement between you and GetRoomie Inc., a California corporation with an address at 2035 Ninth Street, Berkeley, CA 94710 (“Roomie,” “we,” “us,” or “our”).

These Terms apply to the Roomie website, mobile applications, family application, Roomie voice-companion device, reservations, purchases, subscriptions, cloud services, support, and related services collectively referred to as the “Services.”

By accessing or using the Services, creating an account, placing a reservation or order, activating a Device, or clicking to accept these Terms, you agree to them.

Do not use the Services if you do not agree.

1. Definitions

“Account Holder” means the adult who creates or administers a Roomie account, purchases or reserves a Device, manages a subscription, or configures Roomie for another person.

“Device” means a Roomie-branded voice-companion product.

“End User” means the person who speaks with, listens to, or otherwise uses the Device.

“Family Member” means a person invited to use a family-account feature.

“User Content” means information, audio, Voice Notes, reminders, names, preferences, stories, feedback, and other content supplied by a user.

An Account Holder and End User may be the same person.

2. Eligibility

An Account Holder must:

  • be at least 18 years old
  • have legal capacity to enter a contract
  • provide accurate information
  • use the Services for lawful personal, family, or household purposes
  • be authorized to use the payment method supplied.

The Services are not directed to children under 13.

A minor may participate in a Voice Note or supervised household interaction only under the authorization and supervision of a parent or legal guardian.

3. Roomie Is an AI System

Roomie is an artificial-intelligence-powered voice companion.

Roomie is not a person. Its statements are generated by automated systems.

AI-generated responses may be inaccurate, incomplete, inconsistent, delayed, misunderstood, outdated, or inappropriate. Roomie may mishear speech, misunderstand context, forget information, repeat information, or provide an incorrect response.

Users must independently verify important information before relying on it.

4. No Medical, Caregiving, Safety, or Emergency Service

ROOMIE IS NOT A MEDICAL DEVICE, DIAGNOSTIC TOOL, HEALTHCARE PROVIDER, CAREGIVER, SECURITY SYSTEM, FALL-DETECTION DEVICE, EMERGENCY-RESPONSE SERVICE, OR SUBSTITUTE FOR HUMAN CONTACT OR PROFESSIONAL CARE.

Roomie does not:

  • diagnose, treat, cure, prevent, or monitor any illness or condition
  • determine whether an End User is healthy, safe, awake, present, distressed, or in a particular emotional state
  • verify whether medication was taken
  • guarantee that a reminder was heard, understood, or followed
  • call emergency services unless a separately documented feature expressly states otherwise
  • continuously monitor a room or person
  • guarantee delivery of messages, reminders, or alerts
  • provide medical, legal, financial, or other professional advice.

Activity Events indicate only that a technical interaction occurred. They do not establish wellbeing, presence, routine compliance, medication adherence, or safety.

Do not rely on Roomie as the sole method for medication reminders, appointments, essential communication, supervision, emergency contact, or care.

In an emergency, contact the appropriate local emergency service immediately.

5. Consent of the End User

An Account Holder who configures Roomie for another adult represents and warrants that:

  1. the End User knows Roomie is an AI system
  2. the End User has received or can access the Privacy Policy
  3. the End User understands what information may be available through the family application
  4. the End User has agreed to the relevant processing and account configuration
  1. the Account Holder has legal authority to take any action performed on the End User’s behalf.

If an End User cannot legally consent, the Account Holder must be the End User’s legally authorized representative or act under another valid legal basis.

The Device may not be installed covertly or used to monitor a person without legally valid notice and authorization.

6. Other People in the Room

The Account Holder and End User are responsible for informing visitors, household members, carers, and others nearby that spoken audio may be processed when Roomie is activated.

Roomie may not be used to:

  • intercept or record private communications unlawfully
  • conduct covert surveillance
  • record telephone calls or meetings without legally required consent
  • collect personal information from another person without authority.

Use in a care home, workplace, shared residence, or institution may require additional authorization from the operator and affected individuals.

7. Accounts and Security

You must:

  • provide accurate and current account information
  • protect credentials and access links
  • use reasonable security measures
  • restrict family access to authorized individuals
  • remove access when it is no longer appropriate
  • notify Roomie promptly of suspected unauthorized access.

You are responsible for activity performed through your account unless caused by Roomie’s breach of a legal duty.

Roomie may require identity verification, multi-factor authentication, or security updates.

8. Family Accounts and Permissions

An Account Holder may invite Family Members and assign permissions.

Depending on the selected permissions, Family Members may be able to:

  • send or receive Voice Notes
  • create reminders
  • view limited Activity Events
  • manage settings
  • configure Roomie’s voice or interaction style
  • review or manage selected Memory Information.

The Account Holder is responsible for choosing appropriate permissions and obtaining any required authorization.

Roomie does not guarantee that an invited person is trustworthy or will use access appropriately.

9. Limited License

  • Subject to these Terms, Roomie grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the software and Services for lawful personal, family, or household purposes.

The Device is sold. Embedded software, firmware, applications, AI systems, interfaces, and cloud services are licensed, not sold.

Except where applicable law permits despite this restriction, you may not:

  • copy, modify, distribute, sell, lease, or sublicense software
  • reverse engineer, decompile, or attempt to extract source code
  • bypass security, usage, geographic, or subscription controls
  • access the Services through unauthorized automated means
  • interfere with the Services
  • scrape or harvest information
  • use the Services to build or train a competing system
  • remove proprietary notices
  • use Roomie commercially without a separate written agreement.

10. User Content

  • You retain ownership of User Content that you lawfully provide.
  • You grant Roomie a worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, process, adapt, and display User Content only as reasonably necessary to:
  • provide the requested Services
  • deliver Voice Notes and reminders
  • maintain selected memory
  • secure and support the Services
  • comply with law
  • exercise or defend legal rights.

This license ends when the relevant content is deleted, except for temporary backups, legal retention, or information lawfully de-identified.

You represent and warrant that:

  • you have the necessary rights and permissions
  • the content does not violate law or another person’s rights
  • you have authority to provide personal information about another person
  • any submitted child voice or information is authorized by a parent or guardian
  • the content is not fraudulent, abusive, threatening, discriminatory, unlawful, or malicious.
  • Roomie does not use Conversation Content or Voice Notes for advertising.

Any use for general-purpose AI-model training requires a separate optional opt-in as described in the Privacy Policy.

11. Prohibited Uses

You may not use the Services to:

  • harm, exploit, deceive, threaten, harass, or impersonate another person
  • conduct scams or fraudulent transactions
  • create a deceptive voice imitation
  • give unauthorized medical or emergency instructions
  • encourage self-harm, violence, abuse, or illegal activity
  • violate privacy, publicity, copyright, or other rights
  • deploy malware or harmful code
  • compromise Device or service security
  • interfere with another user’s access
  • evade restrictions
  • resell reservations or accounts
  • use Roomie in a life-critical environment
  • violate sanctions, export controls, or applicable law.

Roomie may block, restrict, or remove content or functionality reasonably believed to violate these Terms or create legal, security, or safety risk.

12. Third-Party Content and Services

Roomie may retrieve or provide access to radio, music, news, weather, sports, search results, recipes, or other third-party content.

Third-party content may:

  • be inaccurate, delayed, unavailable, or incomplete
  • change without notice
  • be subject to regional restrictions
  • require a separate account or subscription
  • be governed by third-party terms.

Roomie does not endorse and is not responsible for independent third-party content or services.

13. Device and Network Requirements

Roomie may require:

  • a compatible power supply
  • a functioning internet connection
  • Wi-Fi or another supported connection
  • a compatible mobile device for setup
  • supported software
  • periodic updates.

Performance may vary with network quality, room acoustics, background noise, pronunciation, language, speech pattern, hearing ability, third-party availability, and other factors.

Roomie does not guarantee compatibility with every voice, accent, language, hearing need, network, router, content provider, or home environment.

Use the Device only in accordance with supplied safety and operating instructions.

Do not expose it to liquid, excessive heat, unsuitable power, unauthorized modification, or other unsafe conditions.

14. Reservations and Preorders

A reservation or preorder:

  • provides a position in the applicable fulfillment sequence
  • is not an investment, security, loan, deposit account, or ownership interest in GetRoomie Inc.
  • does not earn interest
  • does not guarantee a specific serial number or delivery date
  • remains subject to order acceptance, availability, compliance review, and these Terms.

The reservation amount, estimated shipping window, product price, taxes, remaining balance, and cancellation terms will be shown before payment.

Founding 500 reservation deposits are fully refundable. Unless checkout expressly states otherwise, a refundable reservation may be cancelled before the final balance is charged by emailing info@roomie.care.

If you expressly authorize a later balance charge, Roomie will provide any notice required by law before charging it.

Roomie may cancel a reservation or order for product, compliance, fraud, sanctions, pricing, availability, or operational reasons. If Roomie cancels, its ordinary remedy is a refund of amounts paid for the cancelled item.

15. Product Specifications and Production Changes

Images, prototypes, demonstrations, dimensions, finishes, materials, features, and specifications shown before mass production may be preliminary.

Roomie may make reasonable changes to:

  • components
  • suppliers
  • dimensions
  • software
  • packaging
  • appearance
  • materials
  • functionality.

Roomie will not knowingly make a material reduction to the core purchased product without appropriate notice.

If a pre-shipment change materially reduces the principal functionality represented at purchase, the affected customer may cancel before shipment and receive a refund.

Natural wood grain, color, texture, minor finish variation, and gradual natural aging are not manufacturing defects.

16. Orders, Prices, and Payment

Prices, currencies, included services, discounts, taxes, shipping fees, and subscription terms are displayed at checkout.

Roomie may correct an obvious pricing or description error before shipment. If an accepted order is affected, Roomie will offer the corrected terms or cancel and refund the order.

You authorize Roomie and its payment processor to charge amounts you expressly approve.

You are responsible for applicable taxes, customs charges, and import costs except where checkout states that Roomie will collect or pay them.

Roomie may suspend fulfillment or service for failed, reversed, fraudulent, or disputed payments.

17. Subscriptions and Automatic Renewal

Roomie may offer free and paid plans.

The plan name, included features, price, billing frequency, initial period, renewal terms, and cancellation method will be clearly shown before enrollment.

A subscription renews automatically only where:

  • the renewal is clearly disclosed
  • you provide affirmative consent
  • Roomie provides a retainable confirmation
  • automatic renewal is permitted by applicable law.

If a Device purchase includes an introductory or included period, the checkout will state whether it:

  • ends automatically
  • converts only after a separate opt-in
  • renews automatically at a stated price.

You may cancel an online subscription by emailing info@roomie.care without an unnecessary telephone call or retention process.

Cancellation ordinarily takes effect at the end of the current paid billing period unless applicable law requires otherwise.

Except where required by law or expressly stated, Roomie does not provide prorated refunds for a partially used billing period.

Roomie will provide renewal reminders, trial-expiration notices, annual reminders, and price-change notices where required.

A price change applies prospectively after notice. You may cancel before the new price takes effect.

18. Shipping, Delivery, Returns, and Refunds

The separate Shipping & Returns Policy is incorporated into these Terms.

Estimated shipping dates are not guarantees. If Roomie cannot ship within a promised or legally required period, Roomie will provide the notice, cancellation opportunity, consent request, or refund required by applicable law.

Risk of loss and title transfer according to the Shipping & Returns Policy and mandatory law.

19. Two-Year Limited Hardware Warranty

  • Roomie provides the original retail purchaser or named gift recipient with a Two-Year Limited Hardware Warranty beginning on the date of delivery.

Subject to mandatory consumer law, Roomie warrants that the Device will be free from material defects in materials and workmanship under normal household use.

The limited warranty does not cover:

  • accidental damage
  • liquid, fire, heat, or electrical damage
  • misuse or use contrary to instructions
  • cosmetic wear
  • normal wood variation or aging
  • unauthorized modification
  • damage caused by an unsuitable power source
  • loss or theft
  • unsupported third-party accessories
  • internet or third-party service failure
  • problems caused by failure to install available updates
  • consumable or replaceable parts unless defective on delivery
  • use outside supported territories or conditions.
  • For a valid claim, Roomie may require:
  • proof of purchase
  • Device serial number
  • troubleshooting information
  • photographs or video
  • diagnostic data
  • return of the Device
  • reasonable cooperation.

Subject to mandatory law, Roomie may repair the Device, replace it with a new or functionally equivalent refurbished Device, or refund the affected purchase price.

  • Replacement parts or Devices may differ cosmetically where functionally equivalent.

This limited warranty is in addition to, and does not replace, non-waivable statutory consumer rights.

  • Nothing in these Terms requires the use of a particular paid repair service or branded replacement part where such a requirement would be unlawful.

20. Software Updates and Service Changes

Roomie may deliver automatic or required updates for security, legal compliance, reliability, compatibility, and functionality.

Failure to install an update may affect operation or security.

Roomie may modify or discontinue a feature where reasonably necessary because of:

  • security or safety
  • law or regulation
  • third-party-service changes
  • technical limitations
  • product improvement
  • commercial viability.

Roomie will provide reasonable notice of a material adverse change where practicable and required.

Roomie will not remove a material paid feature during a committed paid term without an appropriate remedy where required by law.

21. Connected-Product Data

Where applicable law grants access to data generated by the Device, eligible users may request access or instruct Roomie to make qualifying data available to an authorized third party.

Roomie may apply reasonable identity, authorization, privacy, security, technical, and trade-secret safeguards.

Additional information is available in the Privacy Policy. Eligible requests may be submitted to info@roomie.care.

22. Intellectual Property

Roomie and its licensors own all rights in:

  • the Roomie name and marks
  • Device design
  • software and firmware
  • interfaces
  • documentation
  • generated service architecture
  • models and prompts
  • websites
  • graphics
  • other proprietary materials.
  • No right is granted except the limited license expressly stated in these Terms.

If you provide feedback, you grant Roomie a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided Roomie does not publicly identify you without permission.

23. Suspension and Termination

Roomie may suspend or terminate access where reasonably necessary to:

  • address nonpayment
  • protect security
  • investigate fraud or misuse
  • comply with law
  • prevent harm
  • enforce these Terms
  • protect Roomie, users, or third parties.

Where reasonable, Roomie will provide notice and an opportunity to remedy the issue.

You may stop using the Services, cancel subscriptions, and close an account according to the available controls.

Sections that by their nature should survive termination remain effective, including intellectual-property, payment, disclaimer, liability, indemnity, dispute, and legal-compliance provisions.

24. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR THE EXPRESS LIMITED HARDWARE WARRANTY:

  • THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”
  • ROOMIE DISCLAIMS WARRANTIES OF NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE
  • ROOMIE DOES NOT WARRANT UNINTERRUPTED, ERROR-FREE, SECURE, OR PERMANENT OPERATION
  • ROOMIE DOES NOT WARRANT THAT AI OUTPUTS ARE ACCURATE OR APPROPRIATE
  • ROOMIE DOES NOT WARRANT THAT REMINDERS OR VOICE NOTES WILL BE DELIVERED, HEARD, UNDERSTOOD, OR FOLLOWED
  • ROOMIE DOES NOT WARRANT THAT THE DEVICE WILL WORK WITH EVERY USER, LANGUAGE, ACCENT, HEARING NEED, NETWORK, OR THIRD-PARTY SERVICE; AND

ROOMIE DOES NOT WARRANT THAT ACTIVITY EVENTS REFLECT AN END USER’S CONDITION, PRESENCE, ROUTINE, OR SAFETY.

  • TO THE EXTENT IMPLIED WARRANTIES CANNOT BE DISCLAIMED, THEY ARE LIMITED TO THE SHORTEST PERIOD PERMITTED BY LAW OR THE DURATION OF THE EXPRESS LIMITED WARRANTY, WHICHEVER APPLICABLE LAW REQUIRES.
  • These disclaimers do not limit rights that cannot lawfully be limited.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOMIE INC. AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES
  • LOST PROFITS, REVENUE, DATA, SAVINGS, BUSINESS, OR GOODWILL
  • LOSS ARISING FROM RELIANCE ON AN AI RESPONSE
  • A MISSED OR INCORRECT REMINDER
  • FAILURE TO INFER OR REPORT AN END USER’S HEALTH, SAFETY, MOOD, PRESENCE, OR MEDICATION ADHERENCE
  • THIRD-PARTY CONTENT OR SERVICE FAILURE
  • NETWORK, POWER, CARRIER, OR DEVICE-CONNECTION FAILURE
  • UNAUTHORIZED FAMILY-ACCOUNT USE NOT CAUSED BY ROOMIE’S BREACH; OR
  • EVENTS OUTSIDE ROOMIE’S REASONABLE CONTROL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOMIE’S TOTAL AGGREGATE LIABILITY ARISING FROM THE AFFECTED PRODUCT OR SERVICE WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO ROOMIE FOR THAT AFFECTED PRODUCT AND RELATED PAID SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

  • For a free Service, the maximum aggregate liability will not exceed USD $100 or the minimum amount required by law.

These limitations apply regardless of legal theory and even if a remedy fails of its essential purpose.

  • Nothing excludes or limits liability that cannot lawfully be excluded, including liability where applicable for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, defective products, breach of mandatory data-protection duties, or non-waivable consumer rights.

26. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless GetRoomie Inc. and its affiliates, officers, directors, employees, and agents from third-party claims, damages, costs, and reasonable legal fees arising from:

  • your unlawful or unauthorized use of the Services
  • your User Content
  • your violation of another person’s privacy, intellectual-property, or other rights
  • your deployment of Roomie without required notice, consent, or authority
  • your breach of these Terms
  • your fraud, willful misconduct, or gross negligence.

This obligation does not apply to the extent a claim results from Roomie’s own breach, negligence, or misconduct.

  • Consumer indemnity obligations apply only to the extent enforceable in the consumer’s jurisdiction.

27. Force Majeure

Roomie is not responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disaster, war, terrorism, epidemic, government action, labor disruption, carrier failure, component shortage, supplier failure, power or internet outage, cyberattack, sanctions, customs delay, or failure of a critical third-party provider.

This section does not remove a refund, cancellation, or other right that applicable law makes mandatory.

28. Informal Dispute Resolution

Before filing a formal claim, you and Roomie agree to attempt to resolve the dispute informally.

A written notice must include:

  • name and account email
  • order or Device number
  • a description of the dispute
  • supporting information
  • the requested resolution.

Notices to Roomie must be sent to info@roomie.care and 2035 Ninth Street, Berkeley, CA 94710.

The parties will attempt to resolve the matter for at least 60 days after receipt of a complete notice.

This requirement does not prevent an urgent request for injunctive relief or the filing of a claim before a limitation period expires.

29. Arbitration Agreement for United States Users

This Section applies only to users resident in the United States and only to the extent permitted by law. It does not apply to EEA, UK, or other consumers where mandatory local law prevents it.

After the informal process, any dispute arising from these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

The Federal Arbitration Act governs this arbitration agreement.

Arbitration may occur by video, telephone, document submission, or in the county where you live, unless the parties agree otherwise.

Either party may bring an eligible individual claim in small-claims court.

Either party may seek temporary or injunctive relief concerning unauthorized access, security, or intellectual-property misuse.

Jury-Trial Waiver

YOU AND ROOMIE WAIVE THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Class-Action Waiver

YOU AND ROOMIE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION.

An arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual claim.

If the class-action waiver is finally held unenforceable for a particular claim, that claim must proceed in court rather than arbitration.

Arbitration Opt-Out

You may opt out of this arbitration agreement by sending a written notice within 30 days after first accepting these Terms.

The notice must include your name, account email, postal address, and an unequivocal statement that you opt out of the Roomie arbitration agreement.

Opting out will not affect access to the Services.

30. Electronic Communications

You consent to receive contracts, confirmations, notices, invoices, renewal notices, safety communications, and other records electronically.

You may retain electronic communications for your records.

Roomie may still provide notices by mail, Device message, application, or another reasonable method.

31. General Provisions

These Terms, the Privacy Policy, Shipping & Returns Policy, order confirmation, limited warranty, and any plan-specific terms form the entire agreement concerning the Services.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective.

Failure to enforce a provision is not a waiver.

You may not assign these Terms without Roomie’s consent. Roomie may assign them in connection with a financing, restructuring, merger, acquisition, asset transfer, or corporate reorganization, subject to applicable law.

No person other than the parties has rights under these Terms unless mandatory law provides otherwise.

Headings are for convenience only.

32. Changes to These Terms

Roomie may update these Terms prospectively.

Material changes will be communicated reasonably in advance where required.

A material change will not retroactively alter an existing payment obligation or remove a mandatory right.

If consent is legally required, Roomie will request it.
